 Welcome to Humble Grape! The terms "we", "us" and "our" refer to Humble Grape Ltd ("Humble Grape"). Humble Grape operates this store and website, including all related information, content, features, tools, products and services, in order to provide you, the customer, with a curated wine shopping experience (the "Services"). Humble Grape is powered by Shopify, which enables us to provide the Services to you. The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services. Please read these Terms of Service carefully, as they include important information about your legal rights, our age-verification and responsible-selling obligations as an alcohol retailer, and areas such as warranty disclaimers and limitations of liability. By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy [LINK]. If you do not agree to these Terms of Service or our Privacy Policy, you should not use or access our Services.

SECTION 1 - ACCESS AND ACCOUNT

Our Services involve the sale of alcohol. By agreeing to these Terms of Service, you confirm that you are at least 18 years old, the minimum legal age to purchase alcohol in the United Kingdom. We do not sell alcohol to, or knowingly permit the use of the Services by, anyone under 18. Section 2 below sets out how we verify age. To use the Services, including accessing or browsing our online store or purchasing any of the products or services we offer, you may be asked to provide certain information, such as your email address, date of birth, billing, payment, and shipping information. You represent and warrant that all information you provide is correct, current and complete, and that you have all rights necessary to provide it. You are solely responsible for maintaining the security of your account credentials and for all account activity. You may not transfer, sell, assign, or license your account to any other person.

SECTION 2 - AGE VERIFICATION AND RESPONSIBLE RETAILING

Humble Grape operates a strict Challenge 25 policy. If you appear to be under 25, we (or our delivery partners) will require valid photographic ID - such as a passport, UK/EU photocard driving licence, or a PASS-accredited proof-of-age card - confirming you are at least 18 before releasing any order. We may carry out age verification at any or all of the following stages: - At checkout, using an electronic age-verification check - On dispatch, by requiring confirmation of the recipient's date of birth - On delivery, by requiring the recipient to show valid ID and sign for the order If we or our carrier cannot verify that the person accepting delivery is 18 or over, we reserve the right to refuse to hand over the order, return it to us, and/or cancel the sale. We are not liable for any delay, cost, or inconvenience this causes. Orders are not knowingly accepted from, or delivered to, anyone under 18, and we reserve the right to cancel any order where we reasonably suspect it is intended for consumption by, or supply to, a person under 18.

SECTION 3 - OUR PRODUCTS

We have made every effort to provide an accurate representation of our wines and other products in our online store, including tasting notes, vintage, and ABV. However, vintages, labels, packaging, and availability may vary from what is depicted due to natural variation between shipments, supplier changes, or the age of a product image. We do not warrant that the appearance, vintage, or quality of any product purchased by you will be identical to that depicted or described in our online store. All product descriptions are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any product we offer to any person, geographic region, or jurisdiction, on a case-by-case basis - including where local licensing laws restrict the sale or import of alcohol.

SECTION 4 - ORDERS

When you place an order, you are making an offer to purchase, conditional on satisfactory age verification as described in Section 2. Humble Grape reserves the right to accept or decline your order for any reason at its discretion, including failed age verification. Your order is not accepted until Humble Grape confirms acceptance. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting, as Humble Grape may be unable to accommodate cancellation requests after an order is accepted. If we do not accept, change, or cancel an order, we will attempt to notify you using the email address, billing address, and/or phone number provided at the time of order. Your purchases are subject to return, refund, or exchange in accordance with our Returns, Refunds & Exchanges Policy [LINK]. You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export, and that you are legally permitted to purchase and receive alcohol at the delivery address provided.

SECTION 5 - PRICES AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless expressly stated, posted prices do not include taxes, duty, shipping, handling, or import charges. Prices in our online store may differ from prices in physical stores or in other stores operated by third parties. Promotions may be governed by separate terms; where those conflict with these Terms, the promotion terms govern. You agree to provide current, complete, and accurate purchase, payment, and account information, and to promptly update it (including your email address and payment details) so we can complete transactions and contact you as needed. You represent and warrant that: (i) the payment information you provide is true, correct, and complete; (ii) you are duly authorised to use the payment method for the purchase; (iii) charges incurred by you will be honoured by your payment provider; and (iv) you will pay all charges at the posted prices, including shipping, handling, and applicable taxes and duty.

SECTION 6 - SHIPPING AND DELIVERY

All alcohol deliveries require an adult signature on receipt from someone aged 18 or over, who may be asked to show valid ID as described in Section 2. We are unable to leave alcohol orders unattended, with a neighbour, or in a safe place without ID verification. We currently deliver only within the United Kingdom (or such other regions as stated at checkout). We do not knowingly ship alcohol to jurisdictions where its import, sale, or delivery is restricted or prohibited, and we reserve the right to cancel and refund any order that cannot lawfully be delivered to the requested address. We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, failed age verification at the point of delivery, or events outside our control. Once we transfer products to the carrier, title and risk of loss passes to you, save as set out in our Returns, Refunds & Exchanges Policy [LINK] in respect of damaged deliveries.

SECTION 7 - INTELLECTUAL PROPERTY

Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by Humble Grape, its affiliates, or licensors and are protected by UK and foreign copyright, trade mark, and other intellectual property laws. These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants any licence or other rights under any patent, trade mark, copyright, or other intellectual property of Humble Grape, Shopify, or any third party. Unauthorised use of the Services may infringe intellectual property laws. All rights not expressly granted herein are reserved by Humble Grape. Humble Grape's names, logos, product and service names, designs, and slogans are trademarks of Humble Grape or its affiliates or licensors. You must not use such trademarks without our prior written permission. Shopify's name, logo, product and service names, designs, and slogans are trademarks of Shopify. All other names, logos, and trademarks on the Services belong to their respective owners.

SECTION 8 - OPTIONAL TOOLS

You may be given access to customer tools offered by third parties as part of the Services, which we neither monitor nor control. You acknowledge and agree that we provide access to such tools "as is" and "as available", without warranties or endorsement of any kind. We have no liability arising from your use of optional third-party tools. Any use of optional tools offered through the Services is entirely at your own risk, and you should review the third-party provider's own terms before use. We may, in the future, offer new features through the Services. Such new features form part of the Services and are subject to these Terms.

SECTION 9 - THIRD-PARTY LINKS

The Services may contain materials and hyperlinks to third-party websites (including embedded third-party functionality). We do not examine or evaluate the content or accuracy of such materials or sites, and access is at your own risk. We are not liable for harm or damage related to your access of third-party websites, or your purchase or use of products, services, or content on them. Review third-party policies carefully before transacting. Complaints about third-party products or services should be directed to that third party.

SECTION 10 - RELATIONSHIP WITH SHOPIFY

Humble Grape is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Humble Grape. By using the Services, you acknowledge that Shopify is not responsible for any aspect of any sale between you and Humble Grape, including any injury, damage, or loss resulting from purchased products. You release Shopify and its affiliates from all claims, damages, and liabilities arising from your purchases and transactions with Humble Grape.

SECTION 11 - PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may also be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read these privacy policies. Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them. Information you submit may be transmitted to and shared with Shopify and other third parties, including outside the UK, in order to provide the Services. See our Privacy Policy for details. 

SECTION 12 - FEEDBACK

If you submit any ideas, suggestions, feedback, reviews, or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute, and display it for any purpose, including commercial use. You represent and warrant that: (i) you own or have all rights necessary to the Feedback; (ii) you have disclosed any compensation received in connection with it; and (iii) it complies with these Terms. We are under no obligation to keep Feedback confidential, pay for it, or respond to it. We may, but are not obliged to, monitor, edit, or remove Feedback we consider unlawful, offensive, or otherwise objectionable. You agree your Feedback will not infringe any third-party right, contain unlawful or obscene material, or contain malware, and that you will not misrepresent its origin. You are solely responsible for your Feedback and its accuracy.

SECTION 13 - ERRORS, INACCURACIES AND OMISSIONS

Occasionally the Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct these, and to change, update, or cancel orders affected by such errors at any time without prior notice, including after you have submitted your order.

SECTION 14 - PROHIBITED USES

You may access and use the Services for lawful purposes only. You may not, directly or indirectly: - use the Services for any unlawful or malicious purpose; - violate any applicable law, regulation, or ordinance, including alcohol-licensing law; - attempt to circumvent our age-verification measures, or provide false information about your age or identity; - infringe our intellectual property rights or those of others; - harass, abuse, defame, or harm any employee or other person; - transmit false or misleading information; - send unsolicited advertising, chain letters, or spam; - impersonate any other person or entity; or - engage in conduct that restricts or inhibits anyone's use of the Services, or that we determine may harm Humble Grape, Shopify, or other users. You also agree not to: upload viruses or malicious code; reproduce, duplicate, or exploit any portion of the Services; collect or track others' personal information; spam, phish, or pretext the Services; use bots, scrapers, or automated/AI tools to access the Services; or bypass or interfere with security or access-restriction measures. We may suspend, disable, or terminate your account at any time, without notice, if we determine you have violated these Terms.

SECTION 15 - AGENTS

This section ("Agent Terms") applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with the Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity, and that can execute on a device without direct supervision. No Agent may access, use, or interact with the Services unless it identifies itself and operates strictly in accordance with Section 15.3 below, and provided we have not requested that it refrain from doing so. We may limit, including by technical measures, whether and how any Agent accesses, uses, or interacts with the Services. Agents must: (i) identify themselves in all HTTP/HTTPS requests by including "Agent/[agent name]" in the user-agent string; (ii) not conceal that access is from an Agent, including by mimicking human behaviour or bypassing CAPTCHAs; (iii) respond truthfully to any question seeking to determine whether interactions are from a human or a computer; and (iv) not circumvent any measure intended to control Agent access. Given that our Services involve age-restricted products, Agents may not be used to place orders, complete age verification, or accept delivery on a person's behalf.

SECTION 16 - TERMINATION

We may terminate this agreement or your access to the Services (or any part of it) at our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination. The following sections survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provision that by its nature should survive.

SECTION 17 - DISCLAIMER OF WARRANTIES

Information presented on or through the Services is made available for general information purposes only. We do not warrant the accuracy, completeness, or usefulness of this information, and any reliance on it is at your own risk. We disclaim all liability arising from such reliance by you or any other visitor to the Services. EXCEPT AS EXPRESSLY STATED BY HUMBLE GRAPE, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT WHERE SUCH EXCLUSION IS NOT PERMITTED BY LAW (INCLUDING UNDER THE CONSUMER RIGHTS ACT 2015). WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. NOTHING IN THESE TERMS AFFECTS YOUR STATUTORY RIGHTS AS A CONSUMER.

SECTION 18 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, HUMBLE GRAPE, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCT PROCURED THROUGH THEM, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER ENGLISH LAW.

SECTION 19 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Humble Grape, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable legal fees, arising from: (1) your breach of these Terms or documents incorporated by reference; (2) your violation of any law or the rights of a third party (including underage purchase or supply); or (3) your access to and use of the Services. We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defence and settlement of such a claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You will cooperate in the defence of indemnified claims, including by providing relevant documents.

SECTION 20 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will nonetheless be enforceable to the fullest extent permitted by law, and the unenforceable part will be severed, without affecting the validity of the remaining provisions.

SECTION 21 - WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision. These Terms, together with any policies or operating rules we post on this site, constitute the entire agreement between you and us regarding the Services, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including any prior versions of these Terms). Any ambiguity in interpreting these Terms will not be construed against the drafting party.

SECTION 22 - ASSIGNMENT

You may not delegate, transfer, or assign this agreement or any of your rights or obligations under these Terms without our prior written consent, and any such attempt will be null and void. We may transfer, assign, or delegate these Terms and our rights and obligations without your consent or notice to you.

SECTION 23 - GOVERNING LAW

These Terms of Service, and any separate agreement under which we provide you Services, are governed by and construed in accordance with the laws of England and Wales. You and Humble Grape submit to the exclusive jurisdiction of the courts of England and Wales, save that if you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in your local courts, and mandatory local consumer-protection laws of your country of residence will continue to apply.

The headings used in this agreement are included for convenience only and do not limit or otherwise affect these Terms.

SECTION 25 - CHANGES TO TERMS OF SERVICE

You can review the most current version of these Terms at any time on this page. We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting changes to our website. It is your responsibility to check periodically for changes. We will notify you of material changes where required by law, and such changes will take effect on the date specified in the notice. Your continued use of the Services after changes are posted constitutes acceptance of those changes.
